Studio Rental Agreement
& Terms of Service
Welcome to Studio 35MM ("Studio 35MM," "Studio," "we," "our," or "us"). These Studio Rental Agreement & Terms of Service ("Agreement") govern every reservation, rental, visit, purchase, and use of Studio 35MM, its facilities, equipment, props, furniture, parking areas, and surrounding property. By making a reservation, submitting payment, entering the Studio, or using any portion of our facilities, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree with these Terms, you should not reserve or use Studio 35MM.
1. DEFINITIONS
For purposes of this Agreement, the following definitions apply: Studio means Studio 35MM, including all indoor and outdoor areas, furniture, décor, equipment, parking areas, entrances, hallways, restrooms, storage spaces, seasonal sets, and any other property operated by Studio 35MM. Renter means the individual or business making the reservation and is financially and legally responsible for the reservation, all guests, and any damages occurring during the rental period. Guest includes every individual entering the Studio during the reservation, including but not limited to photographers, videographers, assistants, clients, models, makeup artists, hairstylists, family members, children, vendors, spectators, and any other visitors, regardless of age. Reservation means a confirmed rental period after payment has been accepted by Studio 35MM. Rental Period begins at the scheduled reservation start time and ends at the scheduled reservation end time, unless otherwise approved in writing by Studio 35MM. Equipment includes all lighting, stands, modifiers, paper backdrops, furniture, props, seasonal décor, grip equipment, electronics, audio equipment, and any other items provided by Studio 35MM. Seasonal Set means any temporary installation, including but not limited to Christmas, Valentine's Day, Mother's Day, Fall, Spring, Halloween, or any other limited-time set or themed installation.
2. ACCEPTANCE OF THIS AGREEMENT
By reserving Studio 35MM, making payment, entering the premises, or using any Studio property, the Renter agrees to be legally bound by this Agreement. The Renter represents that they are at least eighteen (18) years of age and have the legal authority to enter into this Agreement. The Renter accepts full responsibility for the conduct, safety, and actions of every Guest attending the reservation. Failure to read this Agreement does not relieve the Renter of any obligations contained herein.
3. ELIGIBILITY
Studio 35MM reserves the right to refuse or cancel any reservation at its sole discretion, including but not limited to reservations involving: Activities that violate federal, state, or local law. Activities that may damage Studio property. Parties or events outside Studio policies. Unsafe activities. Fraudulent bookings. Misrepresentation of guest count or intended use. Failure to comply with previous Studio policies. Excessive prior damages or policy violations. Studio 35MM may deny entry or immediately terminate any reservation if these conditions occur without providing any refund or credit.
4. AGREEMENT PRIORITY
If any portion of this Agreement conflicts with information found on advertisements, social media, emails, text messages, booking platforms, or verbal conversations, this Agreement shall control unless Studio 35MM expressly agrees otherwise in writing. Studio policies may be updated periodically. The version of this Agreement in effect at the time the reservation is confirmed shall govern that reservation.
SECTION 2 – RESERVATIONS, PAYMENTS & BOOKING CONFIRMATION
5. Reservation Requests
A reservation is not confirmed until Studio 35MM has received the required payment and issued a booking confirmation. Submitting a reservation request, inquiry, or availability request does not guarantee availability of the requested date or time. Studio 35MM reserves the right to decline any reservation request at its sole discretion. Reservation availability is offered on a first-paid, first-confirmed basis. Until payment has been successfully received and the reservation has been confirmed, Studio 35MM reserves the right to accept another reservation for the same date and time.
6. Payment Requirements
Unless otherwise approved in writing by Studio 35MM, full payment is required at the time of booking to reserve the requested rental period. Reservations that remain unpaid may be automatically canceled without prior notice. All prices are listed in U.S. Dollars and are subject to applicable taxes and processing fees where required by law. Studio 35MM reserves the right to modify pricing, fees, rental packages, promotions, and available services at any time. Price changes shall not affect reservations that have already been confirmed and paid in full.
7. Accepted Forms of Payment
Studio 35MM accepts payment methods made available through its official booking platform and website. For security reasons, Studio 35MM reserves the right to refuse certain payment methods, require identity verification, or request an alternative payment method before confirming a reservation. Returned payments, declined transactions, payment reversals, or fraudulent payment activity may result in immediate cancellation of the reservation without notice.
7.1 Identity Verification
Studio 35MM reserves the right to request government-issued identification or other reasonable verification to confirm the identity of the Renter and verify that the reservation information matches the payment information provided. Failure to provide requested verification may result in cancellation of the reservation and forfeiture of any amounts paid.
8. Promotional Discounts, Coupons & Special Pricing
Promotional offers, discounts, coupon codes, referral incentives, loyalty rewards, and special pricing are offered at Studio 35MM's sole discretion and may be modified or discontinued at any time. Unless expressly stated otherwise: Only one promotional offer may be applied per reservation. Promotional discounts have no cash value. Promotional discounts may not be transferred, sold, exchanged, or combined with any other offer. Promotional pricing cannot be applied retroactively to existing reservations. Studio 35MM reserves the right to cancel or refuse any promotion that is used in violation of its intended terms.
9. Reservation Confirmation
After payment has been successfully processed, the Renter will receive a booking confirmation by email. It is the Renter's responsibility to review the confirmation and verify that all reservation details, including the reservation date, rental time, selected add-ons, guest count, and contact information, are accurate. Any discrepancies must be reported to Studio 35MM as soon as reasonably possible. Failure to receive a confirmation email does not invalidate this Agreement if the reservation was successfully completed. Renters are responsible for checking spam, junk, promotions, or other filtered email folders before contacting Studio 35MM.
10. Reservation Changes Requested by Studio 35MM
In the unlikely event that Studio 35MM must modify, relocate, postpone, or cancel a reservation due to circumstances beyond its reasonable control, including but not limited to facility maintenance, emergency repairs, utility interruptions, safety concerns, government orders, or other unforeseen events, Studio 35MM will make reasonable efforts to notify the Renter promptly. In such cases, Studio 35MM may, at its sole discretion: Offer an alternative reservation date or time; Issue a studio credit; or Provide a refund if no reasonable alternative is available. Studio 35MM shall not be liable for any indirect, incidental, consequential, or third-party costs incurred by the Renter, including but not limited to photographer fees, travel expenses, lodging, transportation, production costs, vendor fees, or lost business opportunities resulting from such changes.
11. Rental Duration
Each reservation grants access to the Studio only during the confirmed Rental Period. The Rental Period includes, without limitation: Arrival; Loading and unloading; Equipment setup; Hair and makeup preparation; Photography and videography; Client meetings; Wardrobe changes; Breakdown; Cleanup; and Complete exit from the Studio. Renters are responsible for ensuring that all Guests, personal belongings, equipment, and vehicles have completely vacated the premises before the reservation end time unless an extension has been approved by Studio 35MM.
SECTION 3 – CANCELLATIONS, RESCHEDULING & STUDIO CREDITS
Studio 35MM operates on a reservation-only basis. Once a reservation is confirmed, the requested date and time are removed from public availability and reserved exclusively for the Renter. Because Studio 35MM commits its facilities, scheduling, staffing, and resources specifically for each reservation, all cancellation, rescheduling, refund, and credit requests are subject to the terms of this Agreement. The Renter acknowledges that Studio 35MM may decline other reservation requests for the same date and time once a reservation is confirmed. By completing a reservation, the Renter acknowledges that Studio 35MM may be unable to rebook the reserved time if the reservation is canceled, rescheduled, or otherwise modified. Accordingly, the cancellation and rescheduling policies set forth in this Agreement are intended to reasonably compensate Studio 35MM for the loss of booking opportunities and the resources committed to each confirmed reservation.
13. Cancellation Policy
All cancellation requests must be submitted in writing through Studio 35MM's official communication channels, including our official booking platform or email. Cancellation requests submitted by telephone, voicemail, text message, social media comments, direct messages to personal accounts, or any other unofficial communication method shall not be considered valid unless expressly acknowledged in writing by Studio 35MM. A cancellation request becomes effective only after it has been received and acknowledged in writing by Studio 35MM. Cancellation eligibility is determined based on the scheduled reservation start time. Requests submitted outside of Studio 35MM's normal business hours shall be deemed received on the date and time they are actually received by Studio 35MM, regardless of when the Renter first attempted to make contact.
13.1 Cancellation Request Requirements
Cancellation eligibility is determined based on the time between the cancellation request and the scheduled reservation start time. More Than Seventy-Two (72) Hours Before the Reservation: Reservations canceled more than seventy-two (72) hours before the scheduled reservation start time are eligible for a Studio Credit equal to one hundred percent (100%) of the amount paid. No cash refunds will be issued. Between Twenty-Four (24) and Seventy-Two (72) Hours Before the Reservation: Reservations canceled between twenty-four (24) and seventy-two (72) hours before the scheduled reservation start time are eligible for a Studio Credit equal to fifty percent (50%) of the amount paid. The remaining fifty percent (50%) of the amount paid will be retained by Studio 35MM. No cash refunds will be issued. Less Than Twenty-Four (24) Hours Before the Reservation: Reservations canceled less than twenty-four (24) hours before the scheduled reservation start time are considered final and are not eligible for a refund or Studio Credit. All cancellation requests must be submitted through Studio 35MM's official communication channels. Cancellation requests are effective only when received by Studio 35MM.
13.2 Circumstances That Do Not Modify This Policy
Studio 35MM understands that unforeseen circumstances may occur. However, because reservations reserve exclusive access to the Studio and remove the reserved time from public availability, the following circumstances do not alter or waive this cancellation or rescheduling policy: Weather conditions or forecasts; Traffic delays; Flight delays or cancellations; Transportation or vehicle issues; Illness, injury, or medical appointments; Photographer, videographer, model, client, or vendor cancellations; Scheduling conflicts; Childcare issues; Family emergencies; Work or school obligations; Personal scheduling changes; Failure to obtain permits or permissions; Failure to secure necessary equipment; or Any other circumstance outside Studio 35MM's reasonable control. Any exception to this policy may be granted solely at Studio 35MM's discretion and only when confirmed in writing. Any exception applies only to the specific reservation for which it is granted and does not establish a continuing policy or precedent.
13.3 Seasonal Set Reservations
The cancellation and rescheduling policies set forth in this Section do not apply to Seasonal Set reservations. Seasonal Set reservations are governed exclusively by Section 17 of this Agreement, which shall supersede this Section unless Studio 35MM expressly agrees otherwise in writing.
14. No-Shows
A reservation shall be considered a No-Show if the Renter or their Guests fail to arrive during the scheduled Rental Period without prior written approval from Studio 35MM. No-Shows are not eligible for: Refunds; Studio Credits; Rescheduling; or Transfer of payment. Failure to use the reserved Rental Period does not relieve the Renter of any financial obligations under this Agreement.
15. Rescheduling Policy
Studio 35MM understands that unexpected circumstances may arise and, as a courtesy, permits one (1) complimentary reschedule for each reservation, provided the request complies with the cancellation timelines described in this Agreement. The complimentary reschedule is subject to Studio availability. Studio 35MM does not guarantee that the requested replacement date or time will be available. Additional Reschedule Requests Each reservation is eligible for only one (1) complimentary reschedule. Any subsequent request to change the reservation shall be treated as a cancellation of the existing reservation and shall be subject to the cancellation policy outlined in Section 13. A new reservation must then be booked at the current published rates.
16. Studio Credits
When issued, Studio Credits: remain valid for three (3) months from the original reservation date; have no cash value; are non-refundable; are non-transferable; may not be sold or exchanged; may only be redeemed using the original reservation information; may not be combined with promotional offers unless expressly approved by Studio 35MM. Unused Studio Credits automatically expire after three (3) months without further notice. Expired credits will not be reinstated.
17. Seasonal Set Reservations
Studio 35MM's Seasonal Sets are limited-time installations that require significant planning, design, labor, installation, maintenance, and scheduling. Due to their limited availability and high demand, reservations for Seasonal Sets are subject to the following policies.
17.1 Final Reservations
Unless otherwise expressly approved in writing by Studio 35MM, all reservations for Seasonal Sets are final. Seasonal Set reservations are not eligible for: Cancellation; Rescheduling; Studio Credit; Refunds; or Transfer of payment to another reservation. The Renter acknowledges that Seasonal Set reservations reserve a limited and highly requested time period and remove that reservation from public availability.
17.2 Seasonal Set Availability
Seasonal Set availability is limited and may sell out well in advance. Studio 35MM does not guarantee future availability of Seasonal Sets, identical décor, or identical reservation times.
17.3 Set Modifications
Studio 35MM reserves the right to repair, replace, remove, substitute, or modify any Seasonal Set furniture, décor, props, accessories, colors, flowers, lighting, flooring, or other design elements at any time without creating any right to cancellation, refund, Studio Credit, or rescheduling. Photographs used for advertising and promotional purposes are representative only and may differ slightly from the Seasonal Set presented on the reservation date.
17.4 Courtesy Exceptions
Any exception to this Seasonal Set policy shall be granted solely at Studio 35MM's discretion, must be confirmed in writing, and applies only to the specific reservation for which it is granted. A courtesy exception shall not establish a continuing policy or obligate Studio 35MM to grant similar exceptions in the future.
18. Courtesy Exceptions
From time to time, Studio 35MM may, at its sole discretion, grant an exception to this cancellation or rescheduling policy. Any courtesy exception: is voluntary; applies only to the specific reservation for which it is granted; does not establish a continuing policy or precedent; does not modify this Agreement; and shall not obligate Studio 35MM to grant similar exceptions in the future.
19. Chargebacks & Payment Disputes
Initiating a chargeback, payment dispute, or payment reversal does not cancel or otherwise void the Renter's contractual obligations under this Agreement. Studio 35MM reserves the right to dispute any chargeback or payment reversal using: this Agreement; booking records; signed waivers; communications; surveillance footage; photographs; payment records; access logs; and any other relevant documentation. If a chargeback or payment dispute is determined to be improper or fraudulent, Studio 35MM reserves the right to pursue recovery of all unpaid balances, damages, collection costs, reasonable attorney's fees (where permitted by law), court costs, and any additional remedies available under Texas law.
SECTION 4 – RENTAL PERIOD, STUDIO ACCESS & OVERTIME
20. Rental Period
Each reservation grants the Renter access to Studio 35MM only during the confirmed Rental Period stated in the booking confirmation. The Rental Period includes, without limitation: Arrival and check-in; Loading and unloading of personal belongings; Equipment setup; Hair and makeup preparation; Wardrobe changes; Photography and videography; Meetings with clients; Breakdown of equipment and sets; Cleaning of the Studio; and Complete exit from the premises. Renters should reserve sufficient time to complete all activities associated with their session. Studio 35MM is not responsible if a Renter books insufficient time to complete their production.
21. Studio Access
Studio access instructions, including entry information and access codes, are generally sent on the evening prior to the scheduled reservation. While they are typically delivered between 8:00 PM and 10:00 PM, they may be sent earlier or later depending on operational needs. Depending on operational needs, access instructions may be sent earlier or later than this timeframe. For same-day reservations or reservations made on short notice, Studio access instructions and access codes may be delivered closer to the reservation start time. Studio 35MM will make reasonable efforts to provide access information as promptly as possible; however, short-notice bookings may experience delays due to scheduling and operational requirements. The Renter is responsible for reviewing all communications from Studio 35MM and checking spam, junk, promotions, or secondary email folders if access information has not been received. If the Renter has not received access instructions within a reasonable time before the scheduled reservation, the Renter is responsible for promptly contacting Studio 35MM through an official communication channel. Studio 35MM shall not be liable for delays resulting from the Renter's failure to monitor their email, spam folder, junk folder, promotions folder, or other designated communication channels. Access information is confidential and may only be used by the Renter and their authorized Guests during the confirmed Rental Period. Access codes may not be shared with unauthorized individuals or used before or after the confirmed reservation. Studio 35MM reserves the right to modify access procedures or access codes at any time for security or operational purposes.
22. Arrival and Departure
The Rental Period begins at the scheduled reservation start time and ends at the scheduled reservation end time. Early arrival does not guarantee access to the Studio. If the Studio is occupied or being prepared for another reservation, the Renter must wait until their scheduled start time. The Studio must be completely vacated by the reservation end time unless an extension has been approved by Studio 35MM. A reservation is considered complete only after: All Guests have exited the premises; All personal belongings have been removed; Furniture and Studio property have been returned to their original locations; Trash has been disposed of in the designated containers; The Studio has been left in substantially the same condition in which it was received.
23. Extension Requests
Requests to extend a reservation are subject to Studio availability and are not guaranteed. Extensions must be requested before the scheduled reservation end time. If approved, extension time shall be billed in 30-minute increments at Studio 35MM's then-current rates. Studio 35MM reserves the right to deny any extension request if another reservation, cleaning, maintenance, staffing requirement, or other operational need would be affected.
24. Unauthorized Overtime
Remaining in the Studio beyond the confirmed Rental Period without prior written approval constitutes Unauthorized Overtime. Unauthorized Overtime disrupts Studio operations and may delay subsequent reservations. Accordingly, Studio 35MM reserves the right, at its sole discretion, to assess either: the applicable 30-minute extension fee; or a late fee of Ten Dollars ($10.00) per minute for the entire period the Studio remains occupied beyond the confirmed reservation. The determination of which fee structure applies shall be made solely by Studio 35MM based upon the circumstances of the reservation. Payment of an overtime or late fee does not create any right to continue occupying the Studio beyond the approved reservation time.
25. Failure to Vacate
If the Renter or any Guest fails to vacate the Studio upon expiration of the Rental Period, Studio 35MM reserves the right to: Require the immediate departure of all Guests; Interrupt or terminate the production; Remove personal property as reasonably necessary to prepare the Studio for the next reservation; Assess applicable overtime, late fees, cleaning charges, and damages; Refuse future reservations; and Pursue any additional remedies available under this Agreement or Texas law.
26. Responsibility for Subsequent Reservations
The Renter acknowledges that Studio 35MM schedules multiple reservations throughout each business day. Any delay caused by a Renter that affects another customer's reservation may result in additional charges, including but not limited to overtime, late fees, refunds or credits issued to affected customers, additional staffing costs, or other reasonable expenses incurred by Studio 35MM as a direct result of the delay.
27. Early Departure
The Renter's decision to arrive late, begin the reservation after the scheduled start time, end the reservation early, or vacate the Studio before the scheduled reservation end time shall not entitle the Renter to any refund, Studio Credit, partial credit, reduction in rental fees, or extension of time. The Studio remains reserved exclusively for the Renter for the entire confirmed Rental Period regardless of actual usage. Studio 35MM assumes no responsibility for time lost due to the Renter's schedule, late arrival, production delays, equipment setup, weather, photographer or client availability, traffic delays, or any other circumstance beyond Studio 35MM's control.
28. Permitted Use
Studio 35MM is a professional photography and videography rental studio primarily intended for photography, videography, content creation, educational workshops, castings, interviews, commercial productions, and similar creative uses. Certain private events may also be permitted only with prior written approval from Studio 35MM and may be subject to different pricing, occupancy limits, cleaning requirements, security deposits, staffing requirements, and additional terms. The Renter agrees to accurately disclose the intended use of the Studio at the time of booking. Any material change to the nature of the reservation must be approved by Studio 35MM before the scheduled Rental Period. Studio 35MM reserves the right to reclassify a reservation, adjust applicable fees, require additional conditions, or deny the reservation if the actual use of the Studio differs from the information provided during booking. Activities that violate applicable laws, create unsafe conditions, exceed approved occupancy limits, or pose an unreasonable risk of damage to the Studio or its property are strictly prohibited. Failure to accurately disclose the intended use of the Studio during the reservation process may result in additional charges, immediate termination of the reservation without refund, or refusal of future reservations.
29. Guest Count
The Renter is responsible for accurately reporting the total number of individuals expected to be present during the reservation. For purposes of this Agreement, all individuals one (1) year of age and older are counted toward the approved guest count and maximum occupancy limits. Children under one (1) year of age are not included in the guest count. The guest count includes every individual entering the Studio, whether or not they actively participate in the production, including but not limited to: Photographers Videographers Assistants Clients Models Hair stylists Makeup artists Family members Friends Children one (1) year of age and older Vendors Spectators Any other visitors Studio 35MM reserves the right to verify the number of guests present at any time during the reservation. Studio 35MM reserves the right to verify the total number of individuals entering or occupying the Studio at any time during the Rental Period.
30. Maximum Occupancy
Unless otherwise agreed in writing, an A SHOOT reservation permits a maximum of ten (10) guests present in the Studio at any one time. Reservations exceeding ten (10) guests present at one time may require a different reservation type, event pricing, additional staffing, additional cleaning requirements, security deposits, or other operational accommodations. Studio 35MM reserves the right to determine the appropriate reservation type based on the nature of the reservation, guest count, and intended use of the Studio. Studio-hosted Mini Session events or other programs expressly approved in writing by Studio 35MM may permit guest rotation during the Rental Period, provided that no more than the approved maximum number of guests are present inside the Studio at any one time. Such approved guest rotation shall not be considered a violation of this Agreement. The Renter shall not exceed the approved occupancy limit at any time during the reservation without prior written approval from Studio 35MM.
30.1 Studio-Approved Mini Sessions & Guest Rotation
Studio 35MM may, at its sole discretion, approve Mini Sessions or other reservation types that involve scheduled guest rotation. For Studio-approved Mini Sessions, the total number of individuals visiting the Studio during the Rental Period may exceed the standard guest count limit, provided that the maximum approved occupancy inside the Studio is not exceeded at any time. Guest rotation is permitted only when expressly approved in writing by Studio 35MM. Unless such approval has been granted, rotating guests for the purpose of avoiding occupancy limits, additional fees, or a different reservation classification is prohibited. The Renter remains responsible for coordinating guest arrivals and departures to ensure that the approved maximum occupancy is maintained throughout the Rental Period. Studio 35MM reserves the right to establish additional requirements for Mini Sessions, including minimum booking durations, scheduling procedures, check-in procedures, parking requirements, staffing requirements, or other operational policies as deemed necessary.
31. Unauthorized Guest Count
If the number of guests exceeds the approved guest count or the maximum occupancy permitted for the reservation, Studio 35MM reserves the right to: Require immediate payment of the applicable additional fees; Convert the reservation to the appropriate booking category or event rate; Require excess guests to leave the premises; Terminate the reservation without refund; Deny future reservations; or Pursue any other remedies available under this Agreement. Failure by Studio 35MM to enforce guest count limits during a reservation shall not constitute a waiver of its rights under this Agreement.
32. Event Reservations
Reservations involving larger groups, celebrations, receptions, networking events, meetings, workshops, or any activity that exceeds the scope of a standard photography or videography production may be classified as an Event Reservation. Studio 35MM reserves the sole right to determine whether a reservation qualifies as an Event Reservation based on factors including, but not limited to: Number of guests; Nature of the activity; Furniture setup; Food or beverage service; Entertainment; Production requirements; or Overall impact on Studio operations. Event Reservations may be subject to different pricing, occupancy limits, cleaning requirements, security deposits, staffing requirements, and operational policies.
32. Event Reservations
Any reservation with more than ten (10) guests shall automatically be classified as an Event Reservation and shall be subject to Studio 35MM's Event rates, policies, occupancy limits, cleaning requirements, staffing requirements, security deposit requirements (if applicable), and any additional operational requirements established by Studio 35MM. The Renter is responsible for accurately reporting the expected guest count at the time of booking and for notifying Studio 35MM in advance if the expected guest count changes. A reservation may not be intentionally booked as an A SHOOT reservation to avoid Event pricing, Event policies, occupancy limits, or any other applicable requirements. If the number of guests exceeds ten (10) at any time during the Rental Period without prior written approval, Studio 35MM reserves the right, at its sole discretion, to: Reclassify the reservation as an Event Reservation; Charge the applicable Event rate and any additional fees; Require the guest count to be reduced to the approved limit; Suspend or terminate the reservation without refund for violation of this Agreement; and Refuse future reservations or exercise any other rights available under this Agreement or Texas law. Studio 35MM reserves the right to establish additional terms and operational requirements for Event Reservations, including but not limited to setup and breakdown procedures, parking requirements, security deposits, additional cleaning fees, staffing, insurance requirements (if applicable), and other reasonable conditions necessary for the safe operation of the Studio.
33. Visitors
Only individuals directly associated with the reservation are permitted inside the Studio. Visitors who are not participating in the scheduled production may be refused entry or asked to leave at Studio 35MM's discretion. The Renter remains fully responsible for the conduct of every Guest and visitor present during the reservation.
34. Responsibility for Guests
The Renter accepts full responsibility for the conduct, actions, safety, supervision, and compliance of all Guests attending or visiting the Studio during the Rental Period. The Renter is solely responsible for ensuring that all Guests comply with this Agreement and use the Studio in a safe and responsible manner. Any violation of this Agreement by a Guest shall be deemed a violation by the Renter. The Renter assumes full responsibility for all minors attending the reservation and shall ensure they are supervised by a responsible adult at all times. Studio 35MM does not provide childcare or supervision and assumes no responsibility for the safety or well-being of minors. The Renter is financially responsible for any damage to the Studio, equipment, furniture, props, backdrops, fixtures, parking areas, or any other Studio property caused by the Renter or any Guest, whether intentional or accidental. The Renter further assumes all responsibility for any loss, theft, injury, illness, death, or other damages involving the Renter, Guests, clients, vendors, contractors, children, or any other individuals attending the reservation, except to the extent caused by Studio 35MM's gross negligence or willful misconduct, where such liability cannot be waived under applicable Texas law. By entering the Studio, the Renter acknowledges that photography studios contain equipment, furniture, electrical systems, lighting equipment, elevated equipment, vehicles, production activities, and other conditions that may present inherent risks. The Renter voluntarily assumes all risks associated with the use of the Studio and agrees to ensure that all Guests exercise reasonable care while on the premises. The Renter agrees to indemnify, defend, and hold harmless Studio 35MM, its owners, employees, contractors, and representatives from any claims, demands, damages, liabilities, losses, costs, or expenses, including reasonable attorneys' fees where permitted by law, arising out of or relating to the actions, conduct, negligence, or omissions of the Renter or any Guest during the Rental Period.
34.1 Vehicle Responsibility & Liability
Any vehicle brought onto or into Studio 35MM, including the Studio's parking areas, loading areas, or indoor shooting spaces, remains the sole responsibility of the Renter and the vehicle owner. The Renter is responsible for ensuring that every vehicle is operated safely and only by a properly licensed driver. All drivers must exercise extreme caution while operating a vehicle on Studio property and comply with all instructions provided by Studio 35MM. The Renter assumes full responsibility for any injury, death, property damage, or other loss arising from or related to the presence, movement, loading, unloading, parking, or operation of any vehicle during the Rental Period. The Renter shall be financially responsible for any damage caused by a vehicle to the Studio, floors, walls, doors, furniture, equipment, props, landscaping, parking areas, or any other Studio property. The Renter agrees to indemnify, defend, and hold harmless Studio 35MM, its owners, employees, contractors, and representatives from any claims, liabilities, damages, losses, costs, or expenses, including reasonable attorneys' fees where permitted by law, arising out of or relating to any vehicle brought onto Studio property by the Renter or any Guest. Additional vehicle operating requirements, including cooling periods, tire cleaning, speed restrictions, steering restrictions, engine idling limitations, cleanup requirements, and vehicle exit procedures, are set forth elsewhere in this Agreement and must be strictly followed.
35. Right to Count Guests
Studio 35MM reserves the right to verify guest counts at any time during the reservation, including through security cameras, staff observation, or other reasonable means.
36. No Guest Rotation
The approved guest count applies to the total number of individuals entering the Studio during the Rental Period, not merely the number present at any one time. Rotating Guests for the purpose of avoiding occupancy limits or applicable fees is prohibited unless approved in writing by Studio 35MM.
37. Misrepresentation
Providing inaccurate information regarding the intended use of the Studio, guest count, event type, production activities, or any other material information during the reservation process constitutes a material breach of this Agreement and may result in immediate termination of the reservation, additional charges, denial of future reservations, or other remedies available under this Agreement.
SECTION 6 – STUDIO CARE, CLEANLINESS & DAMAGES
35. Care of the Studio
The Renter shall use the Studio, its equipment, furniture, props, backdrops, fixtures, and all other property with reasonable care and in accordance with this Agreement. The Studio shall be returned in substantially the same condition in which it was received, ordinary wear and tear excepted. The Renter is responsible for ensuring that all Guests treat Studio property with care and respect throughout the Rental Period.
36. Furniture, Equipment & Props
Studio furniture, equipment, props, décor, and accessories may be moved only as reasonably necessary for the approved production. All Studio property must be returned to its original location before the end of the Rental Period unless otherwise instructed by Studio 35MM. Dragging furniture, stands, props, or heavy equipment across the floor is prohibited. Items shall be lifted or moved using appropriate care to prevent damage to Studio property. Improper handling of Studio equipment may result in repair, replacement, cleaning, or labor charges.
37. Paper Backdrops
Paper backdrops are delicate production materials and must be handled with care. Unless expressly authorized by Studio 35MM, Renters and Guests shall not install, remove, replace, or reposition paper backdrops. Paper backdrops shall not be walked on with dirty shoes, damaged, written on, painted, taped, cut, punctured, or otherwise altered beyond normal photographic use. Damage beyond ordinary use, including excessive footprints, tears, stains, liquids, or other misuse, may result in replacement or repair charges. Studio 35MM reserves the right to determine whether a backdrop has sustained damage beyond normal wear.
38. Prohibited Activities
Unless expressly approved in writing by Studio 35MM, the following activities are prohibited: Standing, climbing, or sitting on furniture not intended for such use. Hanging from ceiling structures, pipes, lighting rails, or backdrop systems. Nails, screws, staples, thumbtacks, glue, adhesive materials, or fasteners attached to Studio surfaces. Glitter, confetti, artificial snow, feathers, sand, dirt, powder, smoke residue, loose foliage, or similar materials. Open flames, candles, fireworks, sparklers, pyrotechnics, or explosives. Smoke machines, haze machines, dry ice, fog machines, or atmospheric effects. Painting, spray painting, staining, or similar activities. Hazardous chemicals or materials. Any activity reasonably likely to damage Studio property or create unsafe conditions. Studio 35MM may approve certain activities in writing and may require additional fees, deposits, or cleaning charges.
39. Cleaning Responsibilities
The Rental Period includes all setup, breakdown, and cleanup. Before the end of the Rental Period, the Renter shall ensure that: Furniture, equipment, and props are returned to their original locations; Trash is disposed of in designated containers; Food, beverages, decorations, personal belongings, and production materials are removed; Excessive dirt, spills, or debris are cleaned; The Studio is left in substantially the same condition in which it was received. Failure to complete the required cleanup may result in additional cleaning charges.
39.1 Cleaning Fees
Reservations requiring cleaning beyond Studio 35MM's standard post-session housekeeping shall be subject to a minimum cleaning fee of One Hundred Fifty Dollars ($150.00). Examples include, but are not limited to: Excessive trash; Food or beverage spills; Glitter, confetti, or artificial snow; Paint or other staining materials; Mud, dirt, sand, or excessive debris; Tire marks; Pet waste; Smoke residue; Excessive footprints or damage to paper backdrops; Decorations or materials requiring additional removal; Bodily fluids or other biohazards; or Any condition requiring extraordinary cleaning or restoration. If the condition of the Studio requires specialized cleaning, outside contractors, repairs, restoration, or additional labor, the Renter shall be responsible for the actual cost incurred by Studio 35MM, which may exceed the minimum cleaning fee. Studio 35MM reserves the right to determine the extent of cleaning required and to recover all reasonable costs necessary to restore the Studio to its original condition.
41. Inspection
Studio 35MM reserves the right to inspect the Studio before, during, and after any reservation. Damage, missing items, policy violations, or excessive cleaning needs may be documented through photographs, video recordings, security cameras, inspection reports, or other reasonable means. The absence of an immediate inspection does not waive Studio 35MM's right to assess damages discovered after the reservation.
42. Freshly Painted Floors
No dragging furniture. No metal scraping. No wheel spin. No burnouts. Damage may result in repainting charges.
SECTION 7 – STUDIO RULES & SAFETY
43. General Safety
The Renter and all Guests shall conduct themselves in a safe, respectful, and lawful manner at all times. Any activity that, in Studio 35MM's sole judgment, creates an unreasonable risk of injury, property damage, disruption, or interference with Studio operations may be prohibited or immediately stopped. Studio 35MM reserves the right to terminate any reservation without refund if unsafe or prohibited conduct continues after notice.
44. Children & Minors
Children under eighteen (18) years of age must remain under the direct supervision of a responsible adult at all times. Studio 35MM does not provide childcare or supervision and assumes no responsibility for monitoring minors. Children may not climb on furniture, props, backdrop systems, lighting equipment, walls, or any Studio fixtures.
45. Animals
Animals are permitted only with prior written approval from Studio 35MM and payment of any applicable pet fees. The Renter is fully responsible for the conduct, supervision, and cleanup of all animals. Animals may not damage Studio property or create unsafe conditions. Any damage or excessive cleaning resulting from animals shall be charged to the Renter.
46. Food & Beverages
Food and beverages are permitted only in designated areas or as otherwise approved by Studio 35MM. Food, beverages, oils, liquids, or staining materials shall not be placed on paper backdrops, furniture, props, or other Studio property unless expressly approved. The Renter is responsible for cleaning any spills immediately.
47. Alcohol, Smoking & Controlled Substances
Smoking, vaping, marijuana, illegal drugs, and controlled substances prohibited by law are strictly prohibited inside the Studio. Alcohol may only be consumed with Studio 35MM's prior written approval and in compliance with all applicable laws. Intoxicated or impaired individuals may be refused entry or required to leave the premises.
48. Music & Noise
The Renter shall maintain music and noise at reasonable levels. Studio 35MM reserves the right to require the volume to be reduced if it interferes with neighboring businesses, other reservations, or Studio operations.
49. Weapons & Hazardous Materials
Firearms, replica firearms, knives, swords, prop weapons, ammunition, or any other potentially dangerous items are prohibited unless expressly approved in writing by Studio 35MM prior to the reservation. Any approved weapon must be handled safely, professionally, and in compliance with all applicable federal, state, and local laws. The Renter is solely responsible for the possession, transportation, storage, handling, and use of any approved weapon brought onto Studio property and shall ensure that all appropriate safety precautions are followed at all times. Failure to disclose the presence of any firearm, knife, sword, prop weapon, or other dangerous item prior to the reservation constitutes a material breach of this Agreement and may result in the immediate termination of the reservation without refund. Studio 35MM reserves the right to revoke approval, require the immediate removal of any approved weapon, or terminate the reservation without refund if, in Studio 35MM's sole judgment, the activity presents an unsafe condition or violates this Agreement. The Renter assumes all liability arising from the presence or use of any approved weapon and agrees to indemnify, defend, and hold harmless Studio 35MM, its owners, employees, contractors, and representatives from any claims, damages, liabilities, losses, costs, or expenses arising from or related to such items.
50. Emergency Situations
In the event of an emergency, the Renter and all Guests shall immediately comply with instructions provided by emergency personnel or Studio 35MM. Studio 35MM may terminate any reservation when necessary to protect persons or property.
51. Compliance with Laws
The Renter shall comply with all applicable federal, state, and local laws, regulations, fire codes, building regulations, and health and safety requirements during the Rental Period.
SECTION 8 – LIABILITY, ASSUMPTION OF RISK & INDEMNIFICATION
52. Assumption of Risk
The Renter acknowledges that photography and videography productions involve inherent risks, including but not limited to the use of lighting equipment, electrical equipment, furniture, props, ladders, vehicles (if applicable), cables, production equipment, and other conditions commonly found in a professional studio environment. The Renter voluntarily assumes all risks associated with entering and using the Studio and accepts responsibility for ensuring that all Guests exercise reasonable care while on the premises.
53. Personal Property
Studio 35MM is not responsible for any loss, theft, damage, or disappearance of personal property belonging to the Renter or any Guest. The Renter is solely responsible for safeguarding all personal belongings, equipment, vehicles, clothing, valuables, cash, electronics, and production materials brought onto Studio property.
54. Injury, Illness & Personal Safety
The Renter assumes full responsibility for the safety, supervision, and conduct of the Renter and all Guests while on Studio 35MM property. The Renter acknowledges that use of the Studio involves inherent risks, including but not limited to slips, trips, falls, moving equipment, lighting equipment, electrical equipment, furniture, props, production activities, and other conditions commonly associated with a professional photography and videography studio. Studio 35MM shall not be responsible for any injury, illness, accident, death, or other personal harm suffered by the Renter or any Guest while using the Studio, except where liability cannot be legally waived. The Renter agrees to ensure that all Guests use the Studio safely and comply with all posted rules, instructions, and this Agreement.
55. Indemnification
The Renter agrees to defend, indemnify, and hold harmless Studio 35MM, its owners, employees, contractors, representatives, affiliates, successors, and assigns from and against any claims, demands, lawsuits, liabilities, damages, losses, judgments, costs, and expenses, including reasonable attorneys' fees where permitted by law, arising out of or relating to: The Renter's use of the Studio; Any act or omission of the Renter or any Guest; Damage to Studio property; Personal injury or death; Violation of this Agreement; or Violation of any applicable law. This obligation shall survive the expiration or termination of the Rental Period.
56. Limitation of Liability
Studio 35MM's maximum liability arising out of or relating to any reservation shall not exceed the total amount paid by the Renter for that reservation. Studio 35MM shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of profits, loss of business, loss of revenue, business interruption, loss of production, loss of opportunity, emotional distress, or any other indirect losses arising from or relating to the use of the Studio or this Agreement, except where liability cannot be legally waived.
57. No Guarantee of Results
Studio 35MM provides the rental of a photography and videography facility only. Studio 35MM does not guarantee any particular photographic, artistic, commercial, creative, or production outcome resulting from the use of the Studio.
58. Force Majeure
Studio 35MM shall not be liable for any delay, interruption, cancellation, closure, or inability to perform resulting from events beyond its reasonable control, including but not limited to severe weather, hurricanes, flooding, fires, utility interruptions, internet outages, power failures, government actions, public health emergencies, labor disputes, civil disturbances, acts of God, or any other event beyond Studio 35MM's reasonable control. The Renter acknowledges that it is solely the Renter's responsibility to consider weather conditions, traffic, road closures, travel delays, personal emergencies, and any other circumstances that may affect the ability to arrive for or complete the reservation as scheduled. No refunds, Studio Credits, reschedules, or other compensation shall be provided due to any Force Majeure event. All reservations remain subject to the cancellation, rescheduling, and Studio Credit policies set forth in this Agreement. Studio 35MM reserves the right to close the Studio, suspend operations, delay access, modify Studio operations, or cancel reservations if necessary to protect the safety of persons, property, or the Studio itself.
59. Insurance
The Renter is encouraged to obtain appropriate insurance coverage for personal property, rented equipment, commercial productions, vehicles, and any other property or activities associated with the reservation. Studio 35MM does not provide insurance coverage for the Renter or any Guest.
60. Right to Refuse Service
Studio 35MM reserves the right, at its sole discretion, to refuse or terminate any reservation, deny entry, require any individual to leave the premises, or discontinue any activity if Studio 35MM determines that: The Renter or any Guest has violated this Agreement or any Studio policy; The safety of any person or property is at risk; The reservation involves unlawful, dangerous, disruptive, abusive, or inappropriate conduct; The Renter or any Guest fails to follow the reasonable instructions of Studio 35MM; False, misleading, or incomplete information was provided during the booking process; The approved occupancy limit is exceeded; Required payments, fees, deposits, or outstanding balances have not been paid; or Continued use of the Studio would interfere with Studio operations or the experience of other guests. If a reservation is terminated due to a violation of this Agreement, the Renter shall not be entitled to any refund, Studio Credit, rescheduling opportunity, or other compensation. Studio 35MM's decision to refuse service or terminate a reservation shall not limit any other rights or remedies available under this Agreement.
61. Outstanding Balances
The Renter agrees to pay all fees, overtime charges, cleaning fees, damage charges, late fees, equipment rental fees, and any other amounts owed to Studio 35MM. If the Renter has any unpaid balance from a previous reservation, Studio 35MM reserves the right, at its sole discretion, to apply any payment received for a future reservation toward the outstanding balance before applying it to the new reservation. If a future reservation payment is applied to an outstanding balance, the future reservation shall not be considered paid or confirmed until the Renter submits an additional payment covering the full cost of the new reservation. Studio 35MM reserves the right to deny access to the Studio, refuse future reservations, suspend services, cancel upcoming reservations without refund or Studio Credit, or pursue any other remedies available under this Agreement until all outstanding balances have been paid in full. Acceptance of a partial payment shall not constitute a waiver of Studio 35MM's right to collect the remaining balance. Studio 35MM reserves the right to apply any payment, Studio Credit, security deposit, or any other funds received or held on behalf of the Renter toward any outstanding balance owed by the Renter before applying such funds to any current or future reservation.
61.1 Credit Card Authorization
By completing a reservation, the Renter authorizes Studio 35MM to charge the payment method used for the reservation for any amounts properly owed under this Agreement, including unpaid rental fees, overtime, cleaning fees, damage charges, equipment charges, or other applicable fees.
62. Photography, Video Recording & Security Cameras
The studio is monitored by security cameras. Cameras may record video and/or audio (if applicable). Recordings are used for security, policy enforcement, incident investigation, guest count verification, overtime verification, and damage documentation. Guests consent to being recorded by entering the premises.
62.1 Media Use
Studio 35MM may photograph or record portions of the Studio for promotional, marketing, or operational purposes. Studio 35MM will not intentionally use identifiable images or recordings of Renters or their guests for promotional purposes without their consent.
63. Lost & Found
Studio 35MM is not responsible for forgotten items. Items left behind may be discarded after a certain period (e.g., 14 or 30 days). Studio 35MM is not responsible for shipping or storing forgotten property.
64. Privacy
Studio 35MM collects and maintains only the information reasonably necessary to process reservations, communicate with Renters, process payments, provide Studio access, enforce this Agreement, operate its business, and comply with applicable legal obligations. Studio 35MM may retain reservation records, payment records, communications, invoices, security camera footage, photographs, inspection reports, and other documentation as reasonably necessary to operate the business, enforce this Agreement, resolve disputes, or collect outstanding balances. Studio 35MM does not sell or rent the Renter's personal information. Information may be shared only with trusted third-party service providers, payment processors, legal advisors, insurance providers, or government authorities when reasonably necessary to operate the business, enforce this Agreement, or comply with legal obligations. Studio 35MM utilizes third-party providers to process reservations, payments, and communications. Studio 35MM is not responsible for the privacy practices or policies of such third-party providers. By making a reservation, submitting payment, or entering the Studio, the Renter acknowledges and consents to the collection, use, and storage of information as described in this Agreement.
65. Security Cameras & Recording
Studio 35MM utilizes security cameras throughout designated areas of the property for the safety and security of customers, guests, employees, and Studio property. By making a reservation, entering the Studio, or permitting any Guest to enter the Studio, the Renter acknowledges and consents to security video recording. Security recordings may be used to verify booking times, occupancy, damages, cleaning conditions, policy violations, security incidents, payment disputes, chargebacks, insurance claims, and legal proceedings. The Renter is responsible for informing all Guests entering the Studio that security cameras are in operation. Tampering with, obstructing, or disabling any security camera or recording equipment is strictly prohibited and may result in the immediate termination of the reservation without refund, Studio Credit, or rescheduling. Security recordings remain the property of Studio 35MM and may be retained for as long as reasonably necessary for business, security, insurance, or legal purposes.
66. Entire Agreement; Amendments; Acceptance of Terms
This Agreement constitutes the entire agreement between the Renter and Studio 35MM regarding the reservation and use of the Studio and supersedes all prior or contemporaneous discussions, representations, understandings, or agreements relating to the subject matter herein. Studio 35MM reserves the right to modify, revise, or update this Agreement at any time. Any modifications shall apply only to reservations made after the revised Agreement becomes effective and shall not affect reservations previously confirmed unless otherwise agreed in writing. By making a reservation, submitting payment, checking the acceptance box during the booking process, entering the Studio, or permitting any Guest to enter the Studio, the Renter acknowledges that they have read, understood, and agree to be bound by this Agreement. The Renter further acknowledges that they are responsible for ensuring that all Guests, invitees, clients, contractors, employees, and other individuals entering the Studio under the reservation comply with the terms of this Agreement. Failure to read this Agreement shall not relieve the Renter or any Guest of their obligations under its terms.
67. Chargebacks & Payment Disputes
The Renter agrees not to initiate a chargeback or payment dispute for any charge that is valid under this Agreement. If a chargeback or payment dispute is initiated, Studio 35MM reserves the right to provide the payment processor or financial institution with this Agreement, reservation records, invoices, communications, security camera footage, photographs, access records, and any other documentation supporting the validity of the charge. Initiating a chargeback or payment dispute does not relieve the Renter of any payment obligations under this Agreement. The Renter remains responsible for all unpaid balances, fees, damages, and other amounts owed to Studio 35MM. If a chargeback or payment dispute is determined in favor of Studio 35MM, or if the disputed amount remains unpaid, Studio 35MM reserves the right to recover all outstanding amounts, including any chargeback fees, collection costs, reasonable attorneys' fees where permitted by law, and any other costs incurred in collecting the debt. Studio 35MM further reserves the right to deny future reservations or refuse service until all outstanding balances have been paid in full.
